These Terms of Use ("Terms") govern your access to and use of the Layerative website, touchpoint management platform, and NFC touchpoint products and services (together, the "Services"), provided by Workperch t/a Layerative ("Layerative", "we", "us", or "our"). By accessing or using our Services, you agree to be bound by these Terms.
1. About us
Layerative is a trading name of Workperch, registered at Gdanska 21R/17, Gdansk 80-518, Pomorskie, Poland. We supply custom branded NFC touchpoints and an associated touchpoint management platform that connects physical locations to digital experiences. 2. Use of our Services
You must be at least 18 years old, or have the legal capacity to enter into a binding contract in your jurisdiction, to use our Services. You agree to use our Services only for lawful purposes and in accordance with these Terms. You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account.
3. Orders, pricing and payment
All orders for NFC touchpoints and related services are subject to acceptance by us. Prices are as stated at the time of order and may be subject to change. Payment must be made in full, or as otherwise agreed in a separate written agreement, before touchpoints are encoded and dispatched. We reserve the right to refuse or cancel any order at our discretion.
4. The touchpoint management platform
Where access to our touchpoint management platform is provided as part of your purchase, you are granted a limited, non-exclusive, non-transferable right to access and use the platform solely to manage your own touchpoints. You must not attempt to reverse engineer, copy, or interfere with the platform, and you are responsible for keeping your login credentials secure and for all activity carried out under your account.
5. Intellectual property
All intellectual property rights in our website, platform, branding, and product designs remain the property of Workperch t/a Layerative or our licensors. Nothing in these Terms grants you any rights to our intellectual property except as expressly stated. Any custom branding or content you provide for your touchpoints remains your property, and you grant us a licence to use it solely for the purpose of producing your order.
6. Limitation of liability
To the fullest extent permitted by law, Workperch t/a Layerative shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of our Services. Our total liability for any claim arising from these Terms or our Services shall not exceed the amount paid by you for the relevant order in the twelve months preceding the claim.
7. Termination
We may suspend or terminate your access to our Services at any time if you breach these Terms, or for any other reason at our reasonable discretion, including discontinuing the touchpoint management platform. We will endeavour to provide reasonable notice where practicable.
8. Governing law
These Terms are governed by and construed in accordance with the laws of Poland, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Poland, except where mandatory consumer protection laws provide otherwise.
9. Changes to these Terms
We may update these Terms from time to time. Any changes will be posted on this page with an updated revision date. Your continued use of our Services after changes are posted constitutes your acceptance of the updated Terms.
